1. Agreement and eligibility
These Terms of Service (“Terms”) are an agreement between you and the operator of eReviewPro (“eReviewPro,” “BlueConneX,” “we,” “us,” or “our”). “Service” means the eReviewPro website, application, public review pages, review-request tools, widgets, APIs, reports, and related services.
You must be at least 18 years old and legally able to enter into a contract to create a business account. If you use eReviewPro for a company, organization, or other legal entity, you represent that you are authorized to accept these Terms on its behalf. That entity is the “Customer.”
Individuals who receive a review request, submit feedback, or view a public review page may use customer-facing portions of the Service without purchasing a subscription, but the provisions concerning content, acceptable use, privacy, intellectual property, and legal limitations still apply to those interactions.
2. The Service
eReviewPro helps businesses import or manage customer contact records, send review invitations and reminders, collect private feedback, receive reviews, manage public review profiles, publish selected reviews, embed review widgets, report on engagement, and connect through an API.
Features and limits depend on the plan shown in the Customer's account or at checkout. We may add, remove, or modify features over time. Any separately signed order form, service agreement, or enterprise agreement may contain additional or different terms; if there is a conflict, the signed agreement controls for that Customer.
3. Accounts, authorized users, and security
Customers must provide accurate account information and keep it reasonably current. Each individual user should use their own login. Customers are responsible for users they authorize, the roles and permissions assigned to them, and activity performed through their accounts.
You must protect passwords, API keys, authentication codes, and other credentials and promptly notify us at support@ereviewpro.com if you believe an account or credential has been compromised.
We may require email verification, multi-step security controls, password resets, or other reasonable measures when needed to protect the Service or an account.
4. Free trials, plans, billing, and cancellation
Free trial
eReviewPro may offer a free trial with usage limits shown in the Service. A trial may expire even if the Customer has not used the full allowance. Unless we expressly state otherwise, a trial does not automatically restart because a Customer selects a plan or adds a payment method.
Recurring subscription
By selecting a paid plan and authorizing payment, you authorize Stripe to charge the payment method associated with your billing account for the recurring subscription price and applicable taxes beginning on the first-charge date shown to you and monthly thereafter until the subscription is canceled or otherwise ends.
Pricing and plan limits
Current prices, included review-request volume, location limits, user limits, and plan features are displayed on the eReviewPro pricing and billing pages. Unless expressly stated otherwise, usage allowances apply to the applicable billing period and unused allowances do not create a cash value or refund.
Plan changes
Plan changes may be handled through Stripe's customer portal or an eReviewPro billing page. Stripe may display a prorated charge, credit, or future billing change before you confirm an upgrade or downgrade. The terms shown at the time of the change control that billing adjustment.
Cancellation
Customers may cancel through the billing-management tools provided in the Service. Unless a different result is clearly shown before confirmation, cancellation takes effect at the end of the current paid billing period, and access continues through that period. Canceling does not retroactively cancel charges already incurred.
Refunds and taxes
Except where required by law or expressly agreed in writing, fees are non-refundable once the applicable paid billing period has begun. Customers are responsible for taxes, duties, or similar governmental charges associated with their purchase, excluding taxes based on our net income.
Failed payment
If a payment fails or an account becomes past due, we may limit paid features, place the workspace in a restricted/read-only state, suspend access, or require the Customer to update its payment method before normal service resumes.
5. Customer contact data and review-request communications
The Customer decides which people it asks eReviewPro to contact. The Customer is responsible for the lawfulness, accuracy, and appropriateness of contact information and review-request instructions supplied to eReviewPro.
The Customer represents and agrees that it will:
- have a lawful basis and any necessary permission to use the contact information it provides;
- send review requests only in connection with a legitimate business relationship, transaction, or other lawful purpose;
- not use harvested, fabricated, unlawfully obtained, or deceptive contact lists;
- use accurate sender identities and non-deceptive subject lines;
- honor unsubscribe, suppression, and other legally required communication preferences;
- comply with applicable email, consumer-protection, privacy, and marketing laws.
eReviewPro and its email providers may block, suppress, or refuse delivery to addresses associated with unsubscribes, complaints, repeated bounces, abuse, or provider policy violations.
6. Review integrity and prohibited review manipulation
eReviewPro is designed to support authentic feedback, not to manufacture or deceptively manipulate a business's reputation. Customers must use the Service in a manner consistent with applicable consumer-review and advertising laws.
Customers may not use eReviewPro to:
- create, purchase, submit, or cause the submission of fake or false reviews;
- ask employees, insiders, relatives, agents, or others to misrepresent their identity, independence, or experience;
- provide compensation or incentives that are conditioned on a reviewer expressing a particular positive or negative sentiment;
- route customers to different public-review opportunities based on whether they gave a favorable or unfavorable rating;
- threaten, intimidate, harass, or make knowingly false accusations against someone in order to prevent or remove a negative review;
- falsely represent a selected or curated group of reviews as all, most, or a representative sample of every review received;
- mark or describe a reviewer as a verified customer when the available transaction/customer information does not reasonably support that designation;
- use eReviewPro to create the false impression that an eReviewPro-controlled page is an independent third-party review organization.
7. Customer Data, privacy, and sensitive information
“Customer Data” means information that a Customer or its authorized users submit, import, transmit, or generate through the Service, including contact records, transaction context, business settings, and private feedback associated with that Customer.
As between the Customer and eReviewPro, the Customer retains its rights in Customer Data. The Customer grants us a limited right to host, copy, transmit, process, back up, display, and otherwise use Customer Data only as reasonably necessary to provide, secure, support, and improve the Service; comply with the Customer's instructions; enforce these Terms; and meet legal obligations.
Customers are responsible for their own privacy notices and for determining whether their collection, upload, and use of personal information through eReviewPro is lawful.
Our handling of personal information is also described in the eReviewPro Privacy Policy.
8. Review Participant Content
“Review Participant Content” means a rating, written review, private feedback, display name, or other material submitted by a person responding to a review request or public review form.
The person who submits Review Participant Content retains ownership of their original content. By submitting it, that person grants eReviewPro and the applicable business customer a non-exclusive, worldwide, royalty-free license to host, store, reproduce, format, transmit, moderate, and—when submitted or designated for public use—display the content as necessary to operate the Service and the business customer's review features.
Submission does not guarantee publication. Content may be withheld or removed for legitimate, consistently applied reasons such as spam, unlawful content, threats, personal information, intellectual-property infringement, content about the wrong business, or material unrelated to the applicable review context. Customers may not use moderation solely as a pretext to suppress unfavorable sentiment in a deceptive or unlawful manner.
Review participants must submit content based on their genuine experience and may not impersonate another person, knowingly submit false factual statements, upload unlawful material, or use the Service to harass others.
9. Third-party services and review sites
eReviewPro uses third-party services such as Stripe for subscription billing and Mailjet for review-email delivery. Those providers operate their own systems and may have separate terms and privacy policies.
Customers may configure links to third-party public review platforms or websites. eReviewPro does not control those platforms and does not guarantee that a review will be accepted, displayed, retained, ranked, or treated in any particular way. Customers and review participants are responsible for complying with the rules of any third-party site they use.
References to third-party platforms do not imply sponsorship, partnership, or endorsement unless expressly stated.
10. API, integrations, and review widgets
API access, webhooks, and review widgets are subject to the Customer's plan and reasonable technical limits. Customers must keep API credentials confidential, use them only for authorized systems, and revoke or replace credentials that may have been exposed.
Customers may not bypass rate limits, probe for vulnerabilities, scrape the Service in a manner that impairs it, use automated activity to create fake engagement, or interfere with security controls.
Review widget code and eReviewPro attribution may not be modified in a way that creates a deceptive representation of review completeness, reviewer verification, source, or independence.
11. Acceptable use
You may not use the Service to:
- violate applicable law or another person's rights;
- send spam, phishing, fraudulent, harassing, threatening, or deceptive communications;
- upload malware or attempt unauthorized access to accounts, systems, or data;
- circumvent plan limits, billing controls, rate limits, security mechanisms, or access restrictions;
- resell or provide the Service to unrelated third parties unless your agreement expressly permits it;
- use another business's identity or branding without authorization;
- collect or expose sensitive personal information through public reviews when doing so would be unlawful or unreasonable;
- use the Service in connection with illegal discrimination, fraud, extortion, or other abusive conduct.
We may investigate suspected misuse and may block content, email delivery, API requests, accounts, or integrations when reasonably necessary to protect the Service, users, providers, or the public.
12. eReviewPro intellectual property
The Service, including its software, design, interfaces, documentation, branding, and underlying technology, is owned by BlueConneX or its licensors and is protected by intellectual-property laws.
Subject to these Terms and payment of applicable fees, we grant the Customer a limited, non-exclusive, non-transferable, non-sublicensable right during the subscription or trial term to access and use the Service for its internal business purposes.
You may provide suggestions or feedback about eReviewPro. We may use that feedback without restriction or obligation, provided we do not publicly identify you as the source without permission.
13. Suspension, termination, and data after termination
We may suspend or restrict an account when reasonably necessary because of nonpayment, security risk, suspected fraud or abuse, legal requirements, provider restrictions, material breach of these Terms, or conduct that threatens the Service or others.
Where practical and safe, we will attempt to provide notice and an opportunity to correct the issue. In urgent security, fraud, abuse, or legal situations, suspension may be immediate.
At the end of a trial or subscription, eReviewPro may place the workspace into a restricted or read-only state. Customers should export information they need before terminating service. We may retain or delete Customer Data after termination in accordance with our Privacy Policy, backup practices, legal obligations, suppression requirements, and reasonable operational retention periods. We are not obligated to maintain Customer Data indefinitely after service ends.
14. Service availability, maintenance, and changes
We work to keep eReviewPro available and reliable, but unless a separate written service-level agreement says otherwise, we do not guarantee uninterrupted or error-free operation or a particular uptime percentage.
The Service may be temporarily unavailable because of maintenance, security work, internet/provider outages, software changes, or circumstances outside our reasonable control. We may modify features to improve security, compliance, performance, or product design.
15. Disclaimers
eReviewPro provides software tools. We do not guarantee that use of the Service will cause a business to receive reviews, improve a star rating, improve search rankings, increase revenue, or achieve any specific reputation or marketing result.
We do not independently verify every statement in Customer Data, private feedback, or a consumer review. “Verified customer” indicators are based on information available to the Service and are not a guarantee that every statement in the associated review is accurate.
To the maximum extent permitted by law, the Service is provided “as is” and “as available.” We disclaim implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade.
Some jurisdictions do not allow certain warranty disclaimers, so portions of this section may not apply to you.
16. Limitation of liability
To the maximum extent permitted by law, BlueConneX and eReviewPro will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, loss of goodwill, loss of data, or business interruption arising out of or related to the Service, even if advised that such damages are possible.
To the maximum extent permitted by law, our aggregate liability arising out of or relating to the Service or these Terms will not exceed the amount the Customer paid to eReviewPro for the Service during the 12 months immediately preceding the event giving rise to the claim. If no fees were paid during that period, aggregate liability will not exceed US $100.
The limitations in this section do not limit liability that cannot legally be limited or excluded.
17. Indemnification
To the extent permitted by law, the Customer will defend, indemnify, and hold harmless BlueConneX, eReviewPro, and their personnel from third-party claims, losses, liabilities, and reasonable costs arising from the Customer's Customer Data, unlawful or unauthorized communications, review manipulation, violation of third-party rights, misuse of the Service, or material violation of these Terms.
We will provide reasonable notice of a covered claim and reasonable cooperation at the Customer's expense. The Customer may not settle a claim in a way that admits wrongdoing or imposes obligations on us without our written consent.
18. Governing law and disputes
These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-law rules, except to the extent federal law controls.
Unless applicable law requires otherwise, the state and federal courts with jurisdiction in or serving Monroe County, Pennsylvania will have exclusive jurisdiction over disputes arising from these Terms or the Service, and each party consents to personal jurisdiction and venue in those courts.
Before filing a lawsuit, the parties agree to make a reasonable good-faith effort to resolve the dispute informally by written notice describing the issue and requested resolution.
19. Changes to these Terms
We may update these Terms to reflect product changes, legal requirements, security needs, or business practices. We will post the revised Terms and update the effective or last-updated date.
If a change materially affects an existing paid Customer, we may provide additional notice. Continued use of the Service after revised Terms become effective constitutes acceptance of the revised Terms to the extent permitted by law. If you do not agree to a material change, you may stop using the Service and cancel your subscription.
20. Miscellaneous
Entire agreement
These Terms, the Privacy Policy, the applicable plan/checkout terms, and any signed agreement between the parties constitute the agreement regarding the Service and supersede prior discussions on the same subject.
Severability and waiver
If a provision is found unenforceable, the remaining provisions remain in effect and the unenforceable provision will be limited to the minimum extent necessary. A failure to enforce a provision is not a waiver of the right to enforce it later.
Assignment
You may not assign these Terms without our prior written consent, except in connection with a merger, reorganization, or sale of substantially all assets where the successor assumes these obligations. We may assign these Terms in connection with a corporate reorganization, financing, merger, acquisition, or sale of the Service or related business.
Force majeure
Neither party is responsible for delay or failure caused by events beyond its reasonable control, excluding payment obligations.
Electronic communications
You agree that account, billing, security, legal, and service notices may be provided electronically, including through eReviewPro or by email to the address associated with your account.
